1. Introduction
These Terms of Service govern your use of shroweb.com and any services provided by Shro Web ("we", "us", "our"), a web design and development studio based in Hull, East Yorkshire, UK.
By using our website or engaging our services, you agree to these terms. If you do not agree, please do not use our services.
2. Our services
Shro Web provides web design, web development, app design, MVP development, and related digital services. Specific scope, deliverables, timelines, and commercial terms for each project are agreed in writing before work begins.
We reserve the right to decline any project at our discretion.
3. Payment terms
- •Projects typically require a deposit before work commences, as agreed in your proposal.
- •Payment milestones will be outlined in your project proposal.
- •Invoices are due within 14 days of issue unless otherwise agreed in writing.
- •Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- •We reserve the right to withhold delivery of work until outstanding invoices are paid.
4. Intellectual property
Upon receipt of full payment, all custom work created specifically for you (designs, code, content) transfers to you. We retain the right to:
- •Display the work in our portfolio
- •Retain copies of the work for our records
- •Reuse generic components, patterns, and non-bespoke code across other projects
Third-party assets (fonts, stock images, plugins, etc.) remain subject to their own licences, which we will communicate to you.
5. Client responsibilities
To ensure smooth project delivery, you agree to:
- •Provide content, feedback, and approvals in a timely manner
- •Ensure you have the rights to any content, images, or materials you provide
- •Maintain access to any platforms or accounts we need to complete your project
Delays caused by client inaction may affect project timelines and could incur additional charges.
6. Revisions & changes
Each proposal includes a specified number of revision rounds. Additional revisions or scope changes beyond the original agreement may be charged at our standard hourly rate, agreed in advance.
7. Limitation of liability
To the maximum extent permitted by law, Shro Web shall not be liable for any indirect, incidental, or consequential damages arising from the use of our website or services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
8. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of a project. We will not disclose your confidential information to third parties without your consent, except as required by law.
9. Termination
Either party may terminate a project by giving 14 days' written notice. You will be invoiced for all work completed to the date of termination, including the agreed deposit which is non-refundable.
10. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
